Exodus Tech operates on a strict principle of 100% Client Code Ownership. Upon full payment of project invoices, all custom software, web source code, bespoke design assets, and Git repositories authored specifically for your engagement transfer completely to your organization without proprietary lock-in or recurring licensing penalties.
All proprietary brand trademarks, logos, and original editorial content displayed publicly on exodustech.us remain the exclusive intellectual property of Exodus Tech, LLC.
4. Client Deliverables & Content Responsibilities
Clients providing copy, images, branding materials, or credentials for software integration represent and warrant that they possess all required copyrights and licenses. Exodus Tech, LLC assumes no liability for copyright infringement resulting from client-supplied assets.
5. External Services & Third-Party APIs
Our software builds and managed solutions frequently integrate third-party APIs, cloud hosting providers (e.g., AWS, Cloudflare), and payment processors. While we engineer high-reliability fault tolerance, Exodus Tech, LLC is not liable for disruptions originating within independent upstream providers.
6. Disclaimer of Warranties
Except as expressly set forth in a signed Statement of Work, our Site and advisory materials are provided "as is" without warranty of any kind, whether express or implied. Exodus Tech, LLC specifically disclaims any speculative guarantees regarding third-party search engine algorithms, organic traffic rankings, or commercial revenue outcomes.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Exodus Tech, LLC, its members, managers, and software engineers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our Site or technical deliverables.
8. Indemnification
You agree to defend, indemnify, and hold harmless Exodus Tech, LLC and its officers, engineers, and agents against any claims, liabilities, or expenses resulting from your violation of these terms or improper deployment of deliverables.

SMS Terms of Service — Exodus Tech LLC
1. Program Sender & Scope
Exodus Tech LLC is the sending brand for text messages sent from +13214041969 (registered local 10DLC business number). Customer-portal authentication codes require separate affirmative enrollment and are never authorized by the optional service SMS checkbox.
2. Included Message Categories
- Appointment confirmations, reminders, and schedule updates
- Estimate, invoice, and payment notifications
- Two-way customer-service and support conversations
- Customer-portal two-factor authentication codes (separately enrolled; not authorized by service SMS consent)
3. Platform & Delivery Processing
Exodus Tech LLC uses Exodus Fusion (operated by Exodus Tech LLC) as its software platform and message delivery processor to send automated reminders and service updates on Exodus Tech LLC's behalf. Exodus Tech LLC remains the sender of record for its customer communications. Your consent applies solely to Exodus Tech LLC's SMS program and never transfers to any other business using Exodus Fusion or to Exodus Fusion's own platform programs.
4. Exclusions (No Marketing or Passwordless SMS Login Links)
This SMS program is strictly for Exodus Tech LLC's service and transactional communications listed above. Consent to this program is optional, is not a condition of purchasing any goods or services, and does not authorize marketing or promotional text messages. Customer-portal login links are delivered by email only and are not sent through this SMS program.
5. Separate Customer-Portal Two-Factor Authentication
After primary sign-in, customers may separately choose SMS two-factor authentication in the Exodus Tech client portal, review the authentication disclosure, and verify their mobile number. This choice does not subscribe the phone to service reminders, support messages, or marketing. Codes are sent only for requested enrollment, sign-in, or phone changes and expire after five minutes. Do not share a code. Message frequency depends on your authentication requests; message and data rates may apply. STOP may block authentication codes as well as service texts from this business. Save the recovery codes provided during enrollment so you can recover access when SMS is unavailable. Passwordless portal login links remain email-only.
6. Frequency, Rates, STOP & HELP Instructions
Message frequency varies based on your service activity with Exodus Tech LLC. Message and data rates may apply. For texts you receive from Exodus Tech LLC, reply STOP at any time to opt out (STOP applies across Exodus Tech LLC's SMS program).
